Terms and conditions
These Terms of Use (“Terms”), otherwise referred to as this “Agreement”, constitute a binding legal agreement between you, as a User of the Platform (“User”, “You”), and Nyangu Technology Limited (“Nyangu”, the “Company”, “Us”, or “We”). Nyangu operates a verified digital platform that enables verified property listing, property management, hospitality management, and property management, together with related tools, features, and verification services (“the Services”). These Terms govern your access to and use of Nyangu, as well as all Services made available through our website, mobile application, and any associated digital channels (collectively referred to as “the Platform”). By accessing or using the Platform, you agree to be bound by these Terms and all policies incorporated herein by reference.
1ACCEPTANCE OF TERMS
By registering, creating, or opening an account on the Platform, you acknowledge and confirm that you have read, understood, and unconditionally agreed to be bound by these Terms of Use. If you do not agree with any provision of these Terms, you must immediately discontinue your use of the Platform and refrain from accessing any part of our Services. Please note that these Terms may be revised, amended, or reissued by Nyangu at any time. Your continued access to or use of the Platform after any such revision shall constitute your irrevocable acceptance of the updated Terms and your agreement to be bound by them. Notwithstanding the foregoing, Nyangu will make reasonable efforts to notify you of any changes that materially affect your rights or obligations. Such notifications may be sent to the email address you provided during registration, and it remains your sole responsibility to ensure that your contact information is accurate and up to date at all times.
2OUR SERVICES
Nyangu provides users with a seamless, secure, and technology-enabled digital ecosystem designed to support verified property discovery, rental management, accommodation booking, and hospitality engagement across Africa. Through the Platform, users are granted access to a wide range of real estate and hospitality solutions, all structured to enhance convenience, safety, and transparency throughout the property journey. The Platform offers access to verified property listings, including rental apartments, shared housing, hostels, short-let accommodations, hotels, and other hospitality options, all of which undergo Nyangu’s identity, documentation, and ownership verification processes. In addition, Nyangu provides rental management tools, such as rent tracking, maintenance request features, digital financial records, and secure document storage, enabling landlords, agents, and tenants to manage tenancy activities with ease.
Nyangu further offers advanced property search functionalities, including smart filters, personalized recommendations, and interactive map features that assist Users in locating suitable properties and nearby amenities. The Platform also supports hospitality discovery and booking, enabling Users to compare and secure hotel rooms, serviced apartments, short-stay accommodations, and other lodging options. To facilitate communication and reduce misconduct, the Platform includes secure in-app messaging, allowing tenants, landlords, agents, hosts, and property managers to interact safely within a monitored and verified environment. Nyangu additionally provides data insights and analytics to property companies and real estate professionals, including performance reports, demographic indicators, and market trends. Users may also benefit from Nyangu’s ratings and review systems, which allow feedback on properties, agents, hosts, and overall service experiences. Nyangu places great emphasis on trust and safety. As such, all agents, landlords, property owners, and hospitality partners must undergo Nyangu’s KYC, KYB, and document verification processes before being permitted to list or manage properties on the Platform. We also offer secure payment channels, intuitive digital tools, and a verified environment designed to make property discovery, property management, and accommodation booking safer, more transparent, and more accessible to individuals and businesses across Africa.
3ELIGIBILITY
To be eligible to use the Platform, you must:
3.1 complete the account registration process and provide all required information in a true, accurate, and verifiable manner;
3.2 be at least 18 years of age (or the age of legal majority in your jurisdiction, where higher) if registering as an individual, and possess the full legal capacity and authority to accept these Terms on behalf of yourself or, where applicable, on behalf of a company, agency, or property-owning entity;
3.3 not have been previously suspended, restricted, or banned from accessing or using the Platform for any reason;
3.4 successfully pass all identity verification (KYC), business verification (KYB), property authorization, and compliance checks required by Nyangu, including the submission of any supporting documents requested from time to time;
3.5 not be in violation of any applicable law or regulation in connection with your use of the Platform, including but not limited to laws relating to property ownership, rental transactions, data protection, anti-money laundering, anti-corruption, counter-terrorist financing, and fraudulent or deceptive practices;
3.6 not use the Platform for any purpose that is unlawful, misleading, harmful, or inconsistent with Nyangu’s verification, trust, and safety standards, including the listing of unverified, unauthorized, or misrepresented properties.
Nyangu reserves the right to refuse, suspend, or revoke access to the Platform where we reasonably believe that any eligibility requirement has not been met or is no longer being satisfied.
4ACCOUNT REGISTRATION
To access and use the Services provided on the Platform, you must:
4.1 register an account using complete, accurate, and current information, including your full name and any other details required for verification and compliance purposes;
4.2provide a valid mobile phone number and/or email address, and expressly consent to the creation of an account associated with such contact details for authentication, notifications, and security purposes;
4.3submit any additional information or documentation that may be required by Nyangu, which may include identity verification documents (KYC), proof of property ownership or authorization, agent or business accreditation documents (KYB), or any other information necessary to enable the use of specific platform features;
4.4create a secure PIN and/or password to access your account. You are solely responsible for safeguarding the confidentiality and security of your PIN, password, and all other login credentials, and for ensuring that they are not disclosed to any unauthorized party.
By registering an account, you represent and warrant that all information provided is true, accurate, and complete. You acknowledge that Nyangu shall not be responsible for any loss, damages, or unauthorized activity resulting from your failure to secure your account credentials or provide accurate information.
5USER RESPONSIBILITIES
You are solely responsible for:
5.1 making all arrangements necessary to ensure that you have proper access to the Services and the Platform;
5.2ensuring that any and allpersons who access the Platform through your account, device, or credentials are fully aware of these Terms and comply with them;
5.3maintaining the security of your account and being fully accountable for all activities, actions, transactions, uploads, communications, or conduct carried out through your account, whether authorized by you or not;
5.4safeguarding the confidentiality of your password, PIN, login credentials, and all other account security information, and ensuring that such information is not disclosed to any unauthorized party.
You acknowledge and agree that Nyangu shall not be liable for any loss, damage, or unauthorized activity arising from your failure to fulfill these responsibilities
6ACCESS TO THE PLATFORM
Subject to these Terms, Nyangu grants you a non-transferable, non-exclusive, revocable, limited license to use and access the Platform solely for your own personal use or authorized business use, and not for any unrelated commercial purpose. The rights granted to you under these Terms are expressly conditioned upon the following restrictions:
6.1you shall not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Platform, whether in whole or in part, or any content, data, listings, or materials displayed on the Platform;
6.2you shall not modify, adapt, create derivative works from, disassemble, reverse compile, reverse engineer, or attempt to extract source code from any part of the Platform;
6.3you shall not access the Platform for the purpose of building, assisting, or operating a similar, competing, or derivative platform, product, or service, including any real estate, rental, or hospitality-related solution;
6.4except as expressly permitted herein, no part of the Platform may be copied, reproduced, distributed, republished, downloaded, displayed, posted, or transmitted in any form or by any means. At present, only permitted marketing materials and referral codes made available by Nyangu may be downloaded or copied as expressly authorized.
Unless otherwise indicated, any future release, update, enhancement, or addition to the functionality of the Platform shall be deemed to form part of the Platform and shall be governed by these Terms.
7SECURITY OF ACCOUNT
We remain committed to the security of the platform, user data, and user assets, however, it is important that the Users treat the login credentials used to access the platform as confidential information and avoid disclosure to any other party, or parties. As a User, you hereby agree that you are totally responsible for the security of your account and its login credentials. We shall not be liable for any loss or damage caused by authorized or unauthorized use of your login credentials. You hereby acknowledge that you understand that we will never ask for your login credentials via email, SMS, social media, instant messenger, or any other channel.
8IDENTITY & PROPERTY VERIFICATION
You hereby authorize Nyangu, whether directly or through one or more third-party service providers, to conduct any inquiries, checks, or investigations that we consider necessary or appropriate for the purpose of verifying your identity, confirming information relating to your profile, listings, properties, or transactions, and protecting the Platform against fraud, misuse, or unlawful activity. Such inquiries may include, without limitation, accessing or querying identity information contained in public records, credit bureaus, compliance databases, governmental registries, or other lawful data sources, including but not limited to your name, address, prior addresses, phone numbers, date of birth, business information, or any other identifying data. You further authorize any third parties to whom such inquiries or requests are made to fully and promptly respond to Nyangu, and to release any information necessary to assist with identity verification, fraud prevention, due diligence, compliance screening, or any related purpose. You acknowledge and agree that Nyangu may take any action it reasonably deems necessary based on the results of such inquiries or reports, including suspending, restricting, or terminating your access to the Platform.
9PROHIBITED ACTIVITIES
You must not use the Platform to engage in any of the following prohibited activities:
9.1commit fraud, deception, or for any unlawful or illegal purpose whatsoever;
9.2request, demand, or accept payment from clients before conducting inspections, viewings, or any activity that must occur prior to payment under Nyangu’s policies;
9.3 reproduce, duplicate, copy, sell, resell, distribute, or exploit any portion of the Platform or its content in any manner not expressly authorized by these Terms;
9.4 upload, post, email, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, discriminatory, or otherwise objectionable;
9.5 use the Platform to harm, endanger, exploit, or injure any third party;
9.6 impersonate any person or entity, misrepresent your identity, or falsely claim affiliation with any person or organization;
9.7 forge headers, manipulate identifiers, or otherwise disguise the origin of any content transmitted through the Platform;
9.8 upload, post, email, transmit, or otherwise make available any content that you do not have the lawful right to share, including content protected by confidentiality, contractual obligations, fiduciary duties, or nondisclosure agreements;
9.9 upload, post, email, transmit, or otherwise make available any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party;
9.10 upload, post, email, transmit, or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation;
9.11 upload, post, email, transmit, or otherwise make available any material containing viruses, malware, Trojan horses, worms, or any other harmful code intended to disrupt, destroy, impair, or limit the functionality of any computer software, hardware, network, or telecommunications equipment;
9.12 disrupt the normal flow of communication or otherwise act in a manner that negatively affects other users’ ability to interact, communicate, or engage on the Platform;
9.13 dinterfere with or disrupt the Platform, servers, or networks connected to the Platform, including disobeying any procedures, policies, or regulations governing such networks;
9.14 intentionally or unintentionally violate any applicable local, state, national, or international law, regulation, or requirement having the force of law.
You hereby acknowledge and agree that Nyangu reserves the absolute right to restrict, suspend, or terminate your access to the Platform, or to take any legal or regulatory action deemed appropriate, upon the reasonable suspicion or confirmation that you have engaged in, attempted to engage in, or facilitated any of the prohibited activities outlined above.
10PROPRIETARY RIGHTS
You acknowledge and agree that Nyangu Technology is the exclusive owner of all intellectual property rights associated with the Platform, including, without limitation, the Nyangu Platform, Services, software, databases, algorithms, interfaces, visual design elements, logos, trade names, brand names, trademarks, service marks, design marks, and all other proprietary materials used in connection with the Platform.
Any proprietary rights associated with third-party logos, trade names, brand names, trademarks, service marks, designs, or software displayed on or used in connection with the Platform shall at all times remain the exclusive property of such third parties. The Platform may feature proprietary marks owned, licensed, or permitted for use by Nyangu or other parties.
By displaying these proprietary marks on the Platform, Nyangu is not granting you any license, permission, or right to use such marks for any purpose whatsoever. Any unauthorized use of these marks may constitute a violation of applicable intellectual property laws and may result in civil or criminal liability.
You further understand and acknowledge that Nyangu owns the Platform in its entirety, and nothing contained in these Terms shall be construed as transferring any ownership, rights, interests, or title in or to the Platform, its software, or its intellectual property to you or to any third party. All rights not expressly granted to you under these Terms are hereby reserved by Nyangu.
11PRIVACY POLICY
We take the privacy and protection of your personal information extremely seriously and remain fully dedicated to safeguarding, securing, and appropriately managing all data you provide to us through the Platform. By using the Services, you acknowledge and agree that your personal information may be collected, processed, stored, and shared in accordance with our Privacy Policy.
You are strongly advised to carefully review our Privacy Policy, available at https://www.nyangu.com/Privacy to understand in detail how we collect, use, store, disclose, retain, and protect your personal information, as well as your rights and obligations under applicable data protection laws.
Your continued use of the Platform constitutes your acknowledgment that you have read, understood, and agreed to the terms contained in our Privacy Policy.
12ACCOUNT MONITORING, SUSPENSION & TERMINATION
Upon probable cause to believe that you have acted, or may be acting, in violation of these Terms, Nyangu may, at its absolute discretion, suspend, restrict, limit, or terminate your account or access to the Platform without prior notice. Such circumstances shall include, without limitation, the following:
12.1Where any content, material, information, or asset submitted or shared by you through the Platform violates these Terms, infringes the intellectual property rights or proprietary rights of any third party, or breaches the privacy rights of any individual.
12.2 Where we have reason to believe that your use of the Platform violates any applicable law or regulation, or that you are using the Services in a fraudulent, deceptive, abusive, or otherwise improper manner contrary to the purpose and intention of this Agreement.
12.3 Where we reasonably believe that you have supplied false, inaccurate, misleading, forged, altered, or deceptive information in connection with your registration, profile, listings, identity verification, property verification, transactions, or any other activity conducted on the Platform.
12.4 Where you fail to respond to our inquiries, audits, or compliance requests, or fail to provide any information, documentation, or clarification requested by us within a reasonable timeframe.
12.5 Where we are required to do so under any applicable law, regulation, or order issued by a regulatory authority, law enforcement, or competent governmental body.
12.6 Where we determine that you have, at any previous time, violated this Agreement or any other agreement, policy, or guideline governing your use of Nyangu.
Upon the occurrence of ANY of the above events, Nyangu may immediately suspend, limit, restrict, disable, or permanently close your account, freeze or halt any ongoing transactions, and take any additional actions deemed necessary to protect Users, the Platform, and our legal or commercial interests.
You acknowledge and agree that Nyangu shall not be liable for any loss, damage, cost, or claim arising from or connected with any suspension, restriction, or termination carried out under this clause.
13COMPLAINTS & DISPUTES
All queries, complaints, or concerns must be promptly raised with our customer support department through the support channel provided on the Platform or through any of our officially designated support channels. Without prejudice to our rights under these Terms, where a dispute arises between you and Nyangu in respect of a transaction, alleged transaction, listing, communication, or any activity conducted through the Platform, we reserve the right, at our absolute discretion and without prior noticeto freeze, limit, suspend, or close any such transaction or alleged transaction where we reasonably believe that such action is necessary or desirable for the purpose of limiting our exposure or the amount in dispute.
You acknowledge and agree that we shall not be liable to you for any loss, claim, or liability arising from or connected with any subsequent movement, change in value, loss of opportunity, or other consequence relating to the transaction or alleged transaction after such action is taken. Our decision to act under this clause shall not be construed as an admission of liability, nor shall it prejudice our rights to take further action under these Terms or applicable law.
14DISCLAIMER
EXCEPT FOR THE EXPRESS REPRESENTATIONS AND WARRANTIES EXPRESSLY SET OUT IN THIS AGREEMENT, NYANGU MAKES NO OTHER WARRANTY OF ANY KIND WHATSOEVER, WHETHER EXPRESS, IMPLIED, OR STATUTORY. THIS INCLUDES, WITHOUT LIMITATION, ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUALITY, ACCURACY, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:
14.1 NYANGU DOES NOT WARRANT the accuracy, completeness, reliability, currency, or authenticity of any property listing, photographs, descriptions, agent representation, landlord representation, hotel information, reviews, ratings, availability data, pricing, or any other content uploaded by Users or third parties on the Platform.
14.2 NYANGU DOES NOT CONTROL, and is not responsible or liable for, the conduct, actions, omissions, representations, or suitability of any Users, including landlords, agents, tenants, hosts, guests, property managers, or hospitality providers.
14.3 NYANGU IS NOT A PARTY to any property rental, inspection, booking, lease, payment arrangement, or contractual agreement between Users, and assumes no responsibility or liability in connection there with.
14.4 THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, without guarantee of uninterrupted access, error-free operation, security, or that defects will be corrected.
14.5 NO ADVICE OR INFORMATION, whether oral or written, obtained from the Platform or from Nyangu’s representatives, shall create any warranty not expressly stated in these Terms.
ALL SERVICES, FEATURES, AND CONTENT PROVIDED THROUGH THE PLATFORM ARE USED STRICTLY AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NYANGU DISCLAIMS ALL LIABILITY FOR ANY LOSS, DAMAGE, COST, CLAIM, EXPENSE, OR INJURY ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM, RELIANCE ON ANY CONTENT, OR INTERACTION WITH ANY OTHER USER.
15ANTI-MONEY LAUNDERING COMPLIANCE
In line with the Anti-Money Laundering and Combating Terrorism Financing laws, we have the authority to monitor your transactions on our platform and your use of our platform for any transaction or activity. Where we suspect a transaction to be risky, we may temporarily place them as pending and request additional documents or information. You agree that we reserve the right to request additional documents and information that support your transactions. We reserve the right to investigate you and your transactions if we deem your activities to be fraudulent.
16CHANGES TO TERMS
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. When we update these terms, we will make an effort to notify you. By continuing to access or use Our Service after those revisions become effective, you agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the Site and the Services.
17LIABILITY
Nyangu cannot accept any liability of whatever nature, whether in contract, tort or otherwise, for the acts, omissions or default, whether negligent or otherwise, of the service providers, over whom we have no direct control. We do not accept any liability in contract, tort, or otherwise for any injury, damage, loss, delay, additional expense, or inconvenience caused directly or indirectly by force majeure or any other event which is beyond our control or which is not preventable by reasonable diligence on our part.
18GOVERNING LAW & DISPUTE RESOLUTION
This Agreement and the rights and obligations of the Parties hereunder shall be governed by and interpreted and construed in accordance with the laws of the Federal Republic of Nigeria (Because all our operations are currently in Nigeria, it will be updated per region when our services are open for other countries).
In the event of a controversy, claim, or dispute arising out of or relating to these Terms, the Parties shall attempt in good faith to resolve such controversy, claim, or dispute promptly by negotiation between the parties or their authorized representatives. You shall, before exploring any other remedy in law, notify us of the dispute or complaint through the contact details. If parties are unable to resolve the controversy, claim or dispute, the parties shall be referred to mediation by a single mediator at the Lagos Multi-Door Courthouse (“LMDC”) under the LMDC Rules and governed by the Lagos Multidoor Courthouse Law.
Each Party agrees that any dispute arising out of or in connection with the Terms will be conducted only on an individual basis and not in a class, consolidated or representative action.
19OTHER LANGUAGES
The Terms are made in the English language. They may be translated to other languages for convenience only, and in the event of any inconsistency, the English language version will prevail.
20SEVERABILITY
If any provision of the Terms is determined to be invalid, unenforceable, or illegal by any court or tribunal, it will be deemed to have been deleted without affecting the remaining provisions. If such a provision were valid, enforceable, and legal if some part of it were modified or deleted, the provision would apply with the minimum modification necessary to make it legal, valid, and enforceable.
21ASSIGNMENT & SUBCONTRACTING
You will not assign your rights under these Terms, in whole or in part, without our prior written consent. Any attempt to do so will be void and constitute a material breach of these Terms. We may assign the Terms, in whole or in part, or subcontract our obligations under it, without your consent.
22RELATIONSHIP
Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and Nyangu.
23WAIVER
No failure or delay by us to exercise any right or remedy provided under these Terms or applicable law, or a single or partial exercise of such right or remedy, will constitute a waiver of that or any other right or remedy, nor will it preclude or restrict the further exercise of that or any other right or remedy.
